These Terms & Conditions ("Terms") govern your access to and use of the website operated by Franck, Inc., a Delaware corporation ("Franck," "we," "us," or "our"), including any content, features, services, inquiries, proposals, booking coordination, or payment facilitation offered through the site (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms.

1. Nature of the Services

Franck provides a transaction coordination and facilitation service for professionally planned events. Our Services are designed to assist event planners and their clients in sourcing, coordinating, and procuring rental goods and related services from independent third-party vendors ("Vendors").

Franck does not own, store, manufacture, supply, install, or operate rental goods, nor does Franck act as an event planner, venue operator, or service provider.

2. Role of Franck

Franck acts as a disclosed intermediary in the transaction process. Depending on the stage of the transaction, Franck may:

• Facilitate inquiries to Vendors
• Coordinate availability and substitutions
• Present proposals for planner and client approval
• Collect deposits or payments for the purpose of facilitating third-party rentals
• Contract directly with Vendors for procurement and logistics

Franck's role is limited to coordination and payment facilitation. Franck does not guarantee the condition, suitability, safety, availability, performance, or outcome of any rental goods or services.

3. Independent Vendors

All rental goods and related services are provided by independent third-party Vendors. Vendors are solely responsible for:

• The condition, safety, and compliance of their goods
• Delivery, pickup, and fulfillment
• Compliance with all applicable laws, permits, and regulations
• Any representations, warranties, or obligations relating to their goods or services

Franck is not a party to the underlying rental agreement between the end client and the Vendor, except for the limited purpose of procurement and payment facilitation.

4. Event Planners

If you are an event planner, you acknowledge and agree that:

• You act as an independent professional on behalf of your client
• You are responsible for obtaining all client approvals
• You are responsible for the accuracy and suitability of selections
• Franck does not provide event planning, design, or professional advisory services

5. Payments

Franck may collect deposits or payments from planners or end clients to facilitate vendor procurement.

You acknowledge that:

• Payments are collected solely for facilitation purposes
• Franck is not a bank, escrow agent, or insurer
• Refunds, cancellations, and changes are subject to vendor policies, event-specific constraints, and planner approvals
• Franck reserves discretion in administering payments consistent with the transaction structure.

6. No Custody or Control of Goods

Franck does not take custody of rental goods. Any physical presence by Franck personnel at delivery or pickup is limited to logistical coordination only.

Franck does not:

• Install or modify goods
• Supervise use
• Control venues, guests, or staff
• Assume responsibility for loss or damage after delivery

7. Assumption of Risk

Events inherently involve risk. To the maximum extent permitted by law, you assume all risks associated with the use, handling, and presence of rental goods at an event.

8. Limitation of Liability

To the maximum extent permitted by law:

• Franck shall not be liable for any indirect, incidental, consequential, special, or punitive damages
• Franck's total liability arising out of or related to the Services shall not exceed the fees paid to Franck in connection with the applicable transaction

Nothing in these Terms limits liability that cannot be limited under California law.

9. Indemnification

You agree to defend, indemnify, and hold harmless Franck, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to:

• Your event
• Your use of rental goods
• Your breach of these Terms
• Your violation of applicable law

10. Intellectual Property

All content on the site, including text, graphics, logos, and designs, is the property of Franck or its licensors and is protected by intellectual property laws. Unauthorized use is prohibited.

11. Third-Party Content and Links

The Services may include content or links to third-party websites. Franck is not responsible for third-party content, policies, or practices.

12. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Any dispute shall be brought exclusively in the state or federal courts located in California.

The internal affairs of Franck, Inc. are governed by Delaware law.

13. Changes to These Terms

Franck may update these Terms from time to time. Continued use of the Services constitutes acceptance of the revised Terms.
